USAGE AGREEMENT

Article 1: Overview

• This general terms of service agreement (“Agreement”) is made by and between Neutron Joint Stock Company (hereinafter referred to as Neutron) and you, the customer, and is effective from the date you use this website. This Agreement sets forth the general terms and conditions regarding your use of the website as well as the products and services purchased or used through this website, and it supplements (without replacing) any specific terms and conditions applicable to particular services.
• Whether you are simply browsing or using this website or purchasing Services, your use of this website and acceptance of this Agreement in electronic form means that you have read, understood, acknowledged, and agreed to be bound by this Agreement as well as the applicable policies and product agreements included for reference in this document.
• Your use of this website or the Services after the changes or modifications have been made signifies your acceptance of this Agreement as last modified. If you do not agree to be bound by this Agreement as last modified, you may not continue to use this website or the Services on this website.

Article 2: Interpretation of Terms

• “Neutron,” “We”: Refers to Neutron Joint Stock Company.
  “You,” “Valued Customer,” “Customer,” “User”: Refers to individuals using this website or those purchasing and utilizing services on this website.
• “Account Holder” – The initial registrant; or the person holding the administrative account; or the person accessing the store account using the administrative account.
• “Administrative Account” – The first administrative account created when the account holder registers a user on the Website/Application.
• “User” – Refers to individuals who register, create an account, and use Neutron’s software on the Website/Application, and whose registration is accepted by Neutron as: Account Holder or employees of the business granted access accounts by the Account Holder; individuals accessing and seeking information on the website neutron.com.vn or onepms.net.
• “Third Party” – Customers, partners, suppliers of Neutron.
• “Store Data” – Electronic data stored in the store that is restricted to access by accounts set up by the account holder.
• “Feature” – The features currently available and provided on Neutron.

Article 3: Scope of Application

• These terms of use apply to the use of NEUTRON products, the official version running on NEUTRON’s servers under the official domains onepms.net or neutron.com.vn, and the Neutron application on Android and iOS operating systems. Neutron will maintain the electronic information page onepms.net and its subdomains as a service provided to Neutron Users, including but not limited to individuals or organizations.
• Neutron may change or adjust these terms of use and publish them on the system as soon as they are approved. Customers can view the newly updated information at any time on Neutron’s website or Neutron’s application. If Neutron Users continue to use the Services, it means that they accept and agree to comply with the latest updated terms of use.
• Any violation by Neutron Users of these terms and conditions may result in the suspension or termination of the Neutron User’s account, Services, or other permitted activities under Neutron’s Service Terms.

Article 4: General Trading Conditions

• By choosing to use the Neutron Websites/Applications, Users agree to comply with the terms, policies, and service agreements published on the Neutron Website/Application. Additionally, when using specific services of Neutron, Users must adhere to the separate terms and conditions applicable to each service at that time.
• In the event that any provision of these Terms of Use becomes invalid or unenforceable for any reason, it will only affect the specific provision that has been determined to be invalid and will not impact the validity of the remaining provisions. If there is any discrepancy between these Terms of Use and other Service Agreements of Neutron, the most recent provision will take precedence.
• Users are responsible for ensuring that their devices are in a network-connected state when accessing the latest business data.

Article 5: Legal Use

• Neutron provides application software with features that assist users in management. Neutron does not interfere with nor assume responsibility for any user activities, including customer relationships, goods, or the quality of goods being traded. Similarly, Neutron is not liable for complaints from users or third parties regarding user business activities.
• Users must acknowledge and accept responsibility for using Neutron’s services in compliance with current laws and the ethical norms of Vietnam. Users are prohibited from utilizing Neutron’s services to infringe upon the lawful rights and interests of Neutron, the community, or any agency, organization, or individual. Prohibited activities include disseminating obscene content, anti-state propaganda, spamming, or transmitting unsolicited messages, as well as trading goods prohibited by law.
• Neutron reserves the right to temporarily suspend or block users from accessing its services if there are indications of legal violations, third-party complaints, or any user activities that could jeopardize Neutron’s safety, legal rights, or the interests of the community, organizations, or individuals. To resume service, Neutron may request users to provide information for verification or make commitments. In serious cases, Neutron reserves the right to involve competent authorities to protect its rights and the community.

Article 6: Service Suspension or Termination

Neutron reserves the right to suspend or terminate services without refunding any fees in the following cases:

a) Users utilize Neutron’s software for purposes or activities violating Vietnamese law.
b) Users store or disseminate data that promotes or constitutes criminal activities, infringes intellectual property rights, or violates the rights of any individual.
c) Users employ software that overloads the system or depletes resources.
d) Users fail to make timely payments.
e) Users harm Neutron’s reputation or brand in public media.
f) Other cases as stipulated by law.

Article 8: Incident Handling

Users must promptly notify Neutron upon detecting issues and cooperate fully to resolve them. In cases involving third parties, users are responsible for collaborating with relevant parties to address the issue. Users acknowledge that Neutron is not liable for damages caused by delayed reporting or withholding of information regarding incidents.

Article 9: Limitation of Liability

• Once administrative credentials have been handed over to the user, Neutron assumes no responsibility for, nor guarantees the accuracy of, user information on their software, website, or application. Furthermore, Neutron is not liable for any legal obligations or compensations to users or third parties for direct, indirect, incidental, or intangible damages, including losses in profit, revenue, or reputation, arising from the use of Neutron’s products or services after the handover.
• Neutron explicitly disclaims any responsibility or liability for the consequences of unauthorized access to its servers, website/application, user equipment, or personal data. Such incidents may result from accidents, unlawful means, third-party devices, or other factors beyond Neutron’s control.
• Neutron is not legally liable or obligated to compensate for damages related to the services it provides, including data loss or damage to customer equipment.
• As a condition of using the website or application, users agree that Neutron, its employees, subsidiaries, shareholders, agents, and suppliers bear no responsibility to third parties for any losses, business opportunities, or direct or indirect costs incurred from connections to Neutron’s website/application or the use of Neutron’s services.
• Additionally, Neutron assumes no responsibility or liability for the quality of products, services, or information provided by third-party websites or applications linked to Neutron’s platform. Users acknowledge that Neutron is not authorized to verify, endorse, or ensure the quality of services, products, or advertisements from such third-party platforms, nor is it liable for any related damages. Neutron advises users to thoroughly assess potential partners to avoid unforeseen damages. Neutron does not guarantee nor assumes responsibility for users’ business outcomes after utilizing its services.

Article 10: Service Availability

Neutron’s services are provided “as-is.” While Neutron strives to ensure uninterrupted service, it cannot guarantee continuous availability or error-free operations due to events like hacking or widespread internet outages. Neutron commits to restoring services and rectifying issues promptly within its capacity.

Article 11: User Manuals

Users can access guidance materials on Neutron’s official support page. Printed manuals are not provided.

Article 12: Resolving Complaints and Disputes

a) Methods for Complaint Submission

Users can submit feedback or complaints through:

Resolution times will depend on the complexity of the complaint, and users will be informed of the outcome. Neutron prioritizes negotiation and mutual respect in dispute resolution.

b) Dispute Resolution

If disputes arise, parties will first negotiate amicably. Unresolved disputes will be referred to the Economic Court in Da Nang.

Article 13: Fee Recovery Policy

If users exploit system vulnerabilities or errors to avoid payments or exceed service limits, Neutron reserves the right to recover fees based on current service rates. Users are liable for damages caused by such actions.
